These terms govern your use of TheMarket Robo platform as a vendor. Please read them carefully before listing or selling products on our marketplace.

1. Introduction

Welcome to TheMarket Robo Vendor Platform. These Vendor Terms of Service ("Vendor Terms") govern your relationship with TMKR Global, LLC ("Company," "we," "us," or "our") when you register as a vendor, list products, and conduct business through our platform.

These Vendor Terms are in addition to our general Terms of Service. By registering as a vendor, you agree to be bound by both these Vendor Terms and the general Terms of Service. In the event of any conflict, these Vendor Terms shall prevail with respect to vendor-specific matters.

2. Acceptance of Terms

By creating a vendor account, submitting products for listing, or conducting any business through our platform, you acknowledge that you have read, understood, and agree to be bound by these Vendor Terms and all applicable laws and regulations.

We reserve the right to modify these Vendor Terms at any time. Material changes will be notified through the vendor dashboard or via email. Your continued use of the vendor platform after such modifications constitutes acceptance of the updated Terms.

3. Vendor Account Obligations

3.1 Account Registration

To sell products on our platform, you must register for a vendor account by providing accurate and complete information, including your legal name, contact details, payment information, and any required identity verification documents.

3.2 Account Security

You are responsible for maintaining the security of your vendor account credentials. You must immediately notify us of any unauthorized access to your account. We are not liable for any losses arising from unauthorized use of your account.

3.3 Identity Verification (KYC)

We may require you to complete identity verification (Know Your Customer) procedures before you can list products or receive payments. This may include providing government-issued identification, proof of address, and other documentation. Failure to complete verification may result in account restrictions or termination.

3.4 Accurate Information

You must keep all vendor account information current and accurate. This includes your business information, payment details, tax information, and contact details. Providing false or misleading information is grounds for immediate account termination.

4. Product Listing Standards

Product Requirements

All products submitted to our platform must meet our listing standards and pass our review process before being made available to customers.

4.1 Product Descriptions

All product listings must include accurate, complete, and non-misleading descriptions. Product descriptions must clearly state the product's features, capabilities, limitations, and requirements. Exaggerated performance claims, guaranteed profits, or misleading trading results are strictly prohibited.

4.2 Pricing

You set the retail price for your products. Prices must be clearly stated and inclusive of any applicable fees. We reserve the right to reject listings with unreasonable pricing or to suggest price adjustments to remain competitive on the platform.

4.3 Submission Review

All product submissions undergo a review process for technical compliance, security, and quality standards. We reserve the right to approve, reject, or request modifications to any submission. Review approval does not constitute an endorsement or guarantee of product performance.

4.4 Updates and Maintenance

You are responsible for maintaining and updating your products to ensure compatibility with supported trading platforms. You must promptly address reported bugs, security vulnerabilities, and compatibility issues. Failure to maintain products may result in delisting.

5. Quality and Compliance Standards

5.1 Technical Standards

Products must meet our technical quality standards, including:

Any performance data, backtests, or results shared with product listings must be accurate and include appropriate disclaimers. You must not guarantee profits or make misleading claims about trading performance. Past performance disclaimers must be prominently displayed.

5.3 Regulatory Compliance

You are responsible for ensuring your products comply with all applicable financial regulations, trading rules, and laws in your jurisdiction and in the jurisdictions where your products are available. Products that violate regulatory requirements will be removed without notice.

6. Payments and Commissions

Payment Processing

Vendor payouts are processed according to our payment schedule. You must provide valid payment information and complete identity verification to receive payments.

6.1 Revenue Share

The platform retains a commission on each sale as specified in your Vendor Agreement. The remaining revenue is paid to you according to our payout schedule. Commission rates may be updated with prior notice to vendors.

6.2 Payout Schedule

Vendor payouts are processed on a regular schedule as defined in your Vendor Agreement. Payouts are subject to minimum threshold requirements, identity verification completion, and no outstanding disputes or holds on your account.

6.3 Tax Obligations

You are solely responsible for all tax obligations arising from your vendor activities, including income tax, VAT, and any other applicable taxes. You must provide accurate tax information (e.g., W-9, W-8BEN) as required. We may withhold taxes as required by applicable law and report vendor earnings to relevant tax authorities.

6.4 Chargebacks and Disputes

In the event of a chargeback or payment dispute initiated by a customer, we may deduct the disputed amount from your pending payouts. You agree to cooperate with us and the payment processor to resolve any disputes. Excessive chargebacks may result in account suspension.

7. Intellectual Property and Content Ownership

7.1 Your Content

You retain ownership of your original products, code, and content. By listing products on our platform, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your product listings, descriptions, and marketing materials for the purpose of operating the marketplace.

7.2 Originality Guarantee

You represent and warrant that all products you list are your original work or that you have all necessary rights, licenses, and permissions to sell them. You must not infringe upon the intellectual property rights of any third party. Any claims of IP infringement may result in immediate delisting and account termination.

7.3 Platform IP

TheMarket Robo name, logo, branding, platform software, and related intellectual property are owned by TMKR Global, LLC. You may not use our trademarks, logos, or branding without prior written consent, except as expressly permitted for promoting your listings on the platform.

8. Prohibited Conduct

The following conduct is strictly prohibited and will result in immediate account suspension or termination:

9. Account Suspension and Termination

9.1 By Us

We may suspend or terminate your vendor account at any time, with or without cause, and with or without notice. Reasons for termination include, but are not limited to: violation of these Vendor Terms, failure to maintain product quality, excessive customer complaints, or engaging in prohibited conduct.

9.2 By You

You may terminate your vendor account at any time by contacting us. Upon termination, your products will be delisted from the marketplace. You remain responsible for all obligations arising from sales made before termination, including customer support, product updates (if applicable), and any outstanding financial obligations.

9.3 Effect of Termination

Upon termination, all product listings will be removed, and any pending payouts will be processed according to our standard payout schedule, subject to any holds for potential chargebacks or disputes (typically 30-90 days). Existing customer licenses for your products will remain valid per their original terms.

10. Warranties and Disclaimers

**THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.** We make no warranties, express or implied, regarding the platform's availability, reliability, or suitability for your business needs.

We do not guarantee any level of sales, revenue, or visibility for your products. Market conditions, competition, and customer preferences may affect your success on the platform. We do not warrant uninterrupted access to the vendor dashboard, payment systems, or other platform services.

11. Limitation of Liability

**TO THE MAXIMUM EXTENT PERMITTED BY LAW:** We shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to lost revenue, lost profits, lost data, or business interruption arising from your use of the vendor platform.

Our total liability to you for any claims arising from your vendor activities shall not exceed the total commissions retained by us from your sales in the twelve (12) months preceding the claim, or $500, whichever is greater.

You agree to indemnify, defend, and hold harmless TMKR Global, LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

These Vendor Terms shall be governed by and construed in accordance with the laws of Georgia. Any disputes arising from these Terms shall be resolved through binding arbitration in Tbilisi, Georgia, unless otherwise required by applicable consumer protection laws.

We reserve the right to modify these Vendor Terms at any time. Material changes will be communicated via email or the vendor dashboard with at least 30 days' notice. Your continued use of the vendor platform after such modifications constitutes acceptance of the updated Terms. If you do not agree with any changes, you must discontinue use of the platform.
