• "License" refers to the limited, non-exclusive, non-transferable right to use a purchased Product for the duration specified in the purchase agreement.
• "User," "You," "Your" refers to any individual or entity accessing or using our services.
• "Account" refers to your registered user account on our platform.
• "Order" refers to a completed purchase transaction for a Product.
• "Platform" refers to TheMarket Robo website, services, and infrastructure.

4. Digital Trading Tools and Products

4.1 Product Descriptions

We provide digital trading tools including but not limited to algorithmic trading robots, expert advisors, trading indicators, and related software products. Product descriptions, features, and specifications are provided for informational purposes only.

4.2 Product Availability

Products are subject to availability. We reserve the right to discontinue, modify, or limit the availability of any Product at any time without prior notice. We are not obligated to provide any specific Product or maintain its availability.

4.3 Product Updates and Versions

Products may be updated, modified, or replaced with new versions. We do not guarantee that updates will be provided or that your purchased version will remain compatible with trading platforms or systems.

4.4 Third-Party Products

Some Products may be created by third-party vendors. We act as a marketplace and are not responsible for the functionality, performance, or outcomes of third-party Products beyond facilitating the transaction.

5. Purchases and Payment

5.1 Order Process

When you place an order:

• You make an offer to purchase a Product at the listed price
• We reserve the right to accept or reject any order
• An order is considered accepted when payment is successfully processed
• Upon payment completion, a License is automatically created and activated

5.2 Pricing and Taxes

All prices are displayed in the currency specified on our website. Prices are subject to change without notice. The price charged is the price displayed at the time of purchase completion.

Tax Handling: Paddle, as the merchant of record, automatically calculates, collects, and remits all applicable sales tax, VAT, and other taxes based on your location and applicable tax laws. The final price you pay includes all applicable taxes. Paddle handles all tax compliance obligations, so you do not need to separately account for taxes on your purchase.

5.3 Payment Terms

Payment must be made in full at the time of purchase using accepted payment methods. All payments are processed by Paddle.com Market Ltd. and its affiliated entities ("Paddle"), who act as the merchant of record for all transactions. Paddle handles payment processing, tax calculation, compliance, and related services on our behalf.

By making a purchase, you also agree to Paddle's Buyer Terms, which can be found at paddle.com/legal/terms and paddle.com/legal/checkout-buyer-terms. Paddle is responsible for payment processing, and we are not liable for payment processing errors, failures, or issues arising from Paddle's services.

5.4 Order Completion

Once payment is successfully processed and the order status changes to "completed," the License is immediately activated and the transaction is final. No cancellations or refunds are permitted after order completion.

5.5 Failed Payments

If payment fails, your order will not be completed and no License will be created. You may retry payment up to 3 times. After the retry limit, you must create a new order.

6. No Refund Policy

6.1 No Refunds - General Policy

TheMarket Robo operates under a strict NO REFUND policy. We do not provide refunds, returns, or exchanges for any digital products purchased through our platform, regardless of the reason, including but not limited to:

• Dissatisfaction with product performance or results
• Technical issues or compatibility problems
• Change of mind or buyer's remorse
• Failure to achieve expected trading results
• Losses incurred while using the product
• Product updates or modifications
• Account suspension or termination
• Any other reason whatsoever

6.2 Digital Product Nature

All Products sold are digital in nature. Once a License is activated and you have access to the Product, the sale is considered complete. Digital products cannot be "returned" in the traditional sense, and we do not offer refunds for digital products under any circumstances.

6.3 Payment Processing and Refunds

All payments are processed by Paddle, who acts as the merchant of record. Refund requests, when permitted under applicable law or this policy, are processed through Paddle's systems. While we maintain our no-refund policy where legally permitted, any refunds that are granted will be processed by Paddle in accordance with their terms and applicable payment regulations.

For refund requests: Please contact our support team first. If a refund is approved under applicable law or our policy, we will coordinate with Paddle to process the refund. Paddle will handle the actual refund transaction in accordance with their Buyer Terms and payment processing rules.

6.4 Admin-Initiated Refunds (Rare Exceptions)

Refunds may only be initiated by Company administrators in extremely rare and exceptional circumstances, such as:

• Duplicate charges due to system errors
• Fraudulent transactions verified by our security team
• Technical errors preventing License activation (if not resolved within 48 hours)

Even in these exceptional cases, refunds are at our sole discretion and are not guaranteed. We reserve the right to deny refunds even in exceptional circumstances.

6.5 Acknowledgment of No Refund Policy

By completing a purchase, you explicitly acknowledge that:

• You understand and accept the no-refund policy
• You have reviewed product descriptions and understand what you are purchasing
• You are aware that digital products are non-refundable
• You will not request refunds for any reason
• The transaction is final upon payment completion

6.6 Chargebacks and Payment Disputes

All chargebacks and payment disputes are handled by Paddle as the merchant of record. Initiating a chargeback or payment dispute with your payment provider after purchasing our Products without first contacting our support team constitutes a violation of these Terms.

If you have a legitimate concern: Please contact our support team first. We will work with you to resolve any issues. Unauthorized chargebacks may result in:

• Your account being immediately suspended or terminated
• All Licenses associated with your account being revoked
• You being permanently banned from our platform
• Paddle processing the chargeback in accordance with their terms and payment scheme rules

Paddle handles all chargeback processing, responses, and related procedures in accordance with payment scheme rules and their merchant of record obligations.

7. License Terms and Restrictions

7.1 License Grant

Upon successful purchase, we grant you a limited, non-exclusive, non-transferable, revocable License to use the purchased Product for the duration specified in your purchase agreement (e.g., monthly, yearly).

7.2 License Restrictions

Your License is subject to the following restrictions:

• Non-Transferable: Licenses cannot be transferred, sold, or assigned to another person or entity
• Non-Exclusive: We may grant Licenses to other users
• Single User: Each License is for use by a single user account only
• Session Limits: License usage is subject to concurrent session limits based on your plan type
• Validity Period: Licenses are valid only for the purchased duration period

7.3 Prohibited Uses of Licensed Products

You may NOT:

• Copy, reproduce, or duplicate the Product
• Reverse engineer, decompile, or disassemble the Product
• Modify, adapt, or create derivative works from the Product
• Share, distribute, or resell the Product or License
• Use the Product for any illegal or unauthorized purpose
• Remove or alter any copyright, trademark, or proprietary notices

7.4 License Revocation

We reserve the right to revoke your License immediately, without refund, if you violate these Terms, engage in fraudulent activity, or breach any applicable laws or regulations.

8. User Responsibilities

8.1 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using strong, unique passwords

8.2 Trading Risks and User Responsibility

You acknowledge and agree that:

• Full Responsibility: You are fully and solely responsible for running our trading robots and indicators on your real trading accounts. You understand that trading always involves risks, including the risk of losing your entire investment.
• No Guarantees: Past performance does not guarantee future results. Historical results displayed for any robot or indicator are not indicative of future performance.
• Independent Evaluation: You must conduct your own thorough investigation, research, and evaluation before selecting and deploying any robot or indicator on your real trading account. You should review product descriptions, performance metrics, risk parameters, and user reviews with open eyes and make informed decisions.
• Platform Limitation: Our platform provides tools and a marketplace for trading robots and indicators. We are not responsible for, and do not accept any liability for, any financial losses, trading losses, or damages incurred while using our Products on real trading accounts.
• No Liability: TMKR GLOBAL LLC, operating as TheMarket Robo, its officers, directors, employees, agents, and affiliates shall not be liable for any losses, damages, or negative outcomes resulting from your use of our Products on real trading accounts, regardless of the cause.
• Risk Management: You should only trade with funds you can afford to lose. You are responsible for implementing appropriate risk management strategies and monitoring your trading activities.
• No Investment Advice: Our Products are tools designed to assist in trading activities. We do not provide investment advice, and our Products should not be considered as such. You should consult with qualified financial advisors before making trading decisions.
• Market Conditions: Trading results depend on various factors including market conditions, economic events, and other factors beyond our control. We are not responsible for losses resulting from adverse market conditions or unexpected events.

8.3 Compliance with Laws

You are responsible for ensuring that your use of our Products complies with all applicable laws, regulations, and trading platform rules in your jurisdiction.

8.4 System Requirements

You are responsible for ensuring your systems meet the technical requirements for using our Products. We are not responsible for compatibility issues or system failures.

9. Prohibited Uses

You agree NOT to:

• Use our Products for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt our services or infrastructure
• Use automated systems to access our website or services without permission
• Impersonate any person or entity or misrepresent your affiliation

• Collect or harvest information about other users
• Use our Products to engage in market manipulation or fraudulent trading

• Initiate chargebacks or payment disputes without valid cause

10. Intellectual Property Rights

10.1 Our Intellectual Property

All content, Products, software, trademarks, logos, and materials on our platform are owned by TMKR GLOBAL LLC (operating as TheMarket Robo) or our licensors and are protected by copyright, trademark, and other intellectual property laws.

10.2 Third-Party Intellectual Property

Some Products may contain third-party intellectual property. Respect for third-party rights is required, and you may not violate any third-party intellectual property rights.

10.3 License to Use

Your purchase grants you only the License rights specified in Section 7. You do not acquire any ownership rights in the Products or our intellectual property.

11. Warranties and Disclaimers

11.1 No Warranties

OUR PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We make no warranties or guarantees regarding trading results, profits, or performance. Trading involves risk, and past performance does not guarantee future results. You may experience losses while using our Products.

11.3 Product Functionality

While we strive to provide functional Products, we do not guarantee that Products will be error-free, compatible with all systems, or meet your specific requirements.

12. Limitation of Liability

12.1 Financial Losses

TMKR GLOBAL LLC (operating as TheMarket Robo) is not responsible for any financial losses, trading losses, or damages resulting from your use of our Products. You acknowledge that trading involves risk and that you may lose money. We are not liable for any losses incurred.

12.2 Maximum Liability

To the extent permitted by law, our total liability for any claims arising from or related to these Terms or our Products shall not exceed the amount you paid for the specific Product giving rise to the claim.

12.3 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless TMKR GLOBAL LLC (operating as TheMarket Robo), its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

14. Account Termination

14.1 Termination by You

You may terminate your account at any time by giving us at least 30 days' prior notice in writing. Termination of your account does not entitle you to any refunds for purchased Products or unused License periods.

14.2 Termination by Us

We reserve the right to suspend or terminate your account and revoke all Licenses immediately, without notice or refund, if you:

• Violate these Terms
• Engage in fraudulent activity
• Initiate unauthorized chargebacks or payment disputes
• Violate any applicable laws or regulations
• Abuse our services or other users
• Violate Paddle's Acceptable Use Policy
• Fail to comply with Paddle's requirements as our payment processor

We may also terminate this Agreement by giving you at least 30 days' prior notice in writing for any reason, or immediately if required by Paddle or any payment method provider.

14.3 Effect of Termination

Upon termination, your access to our Products and services will be immediately revoked. All Licenses will be deactivated, and you will lose access to purchased Products. No refunds will be provided.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on our website with an updated "Last Updated" date. Your continued use of our services after modifications constitutes acceptance of the updated Terms.

If you do not agree to modified Terms, you must stop using our services immediately. No refunds will be provided for Products purchased under previous versions of these Terms.

16. Governing Law and Disputes

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Georgia.
